You agree to defend, indemnify, and hold harmless Dions and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact Dions in writing at [email protected] to describe the nature of your dispute and the relief you are seeking. We will attempt in good faith to resolve any dispute informally within thirty (30) days of receiving your written notice. If the dispute is not resolved within that period, either party may pursue the formal dispute resolution procedures outlined below.
12.2 Binding Arbitration
EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE BREACH THEREOF, OR YOUR USE OF OUR SERVICES SHALL BE SETTLED BY BINDING ARBITRATION ADMINISTERED BY A RECOGNIZED ARBITRATION ORGANIZATION (SUCH AS THE AMERICAN ARBITRATION ASSOCIATION (AAA)) IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES.

12.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.
